TERMS OF SERVICE

READ THIS CAREFULLY. By accessing or using any part of Brown & Black Social Club on Substack (the “Service”), you agree to every clause below and to Substack Inc.’s own Terms of Use and Privacy Policy. If you do not agree, do not use the Service.

1. WHO MAY USE THE SERVICE

• You must be at least 16 years old (or the digital-consent age where you live, if higher) and able to form a binding contract.
• You confirm that your use of the Service will not violate any law or regulation where you live.

2. INTELLECTUAL-PROPERTY RIGHTS (OUR CONTENT)

• All original articles, audio, video, images, logos, and code on the Service (“BBSC Content”) belong to us or our licensors.
• We grant you a limited, revocable, non-transferable license to read BBSC Content for personal, non-commercial use only.
• Forbidden without written permission: copying, reposting, scraping, text-and-data mining, training AI models, or creating derivative works from BBSC Content.
• You may link to public posts so long as the link is not presented in a misleading or defamatory way.

3. USER-GENERATED CONTENT (YOUR COMMENTS, ETC.)

When you post comments, files, or links (“UGC”) you:
• Grant us and our assigns a perpetual, worldwide, royalty-free license to display, reproduce, and distribute that UGC in any media.
• Warrant you own or control the rights in that UGC.
• Accept that we may edit, hide, or delete UGC—or ban your account—at our sole discretion, without notice or refund, especially if it is hateful, harassing, defamatory, spammy, illegal, or violates any third-party right.

4. SUBSCRIPTIONS, PAYMENTS, AND REFUNDS

• Substack processes all billing. You authorize Substack to charge your chosen payment method.
• Fees are non-refundable except where required by law.
• We may change prices; if you’re on a paid tier we’ll email you at least 14 days before it happens. Continuing after that date equals acceptance.

5. ACCEPTABLE-USE RULES

You agree NOT to:
• Violate any law, regulation, or court order.
• Harass, threaten, or impersonate others.
• Upload malware, phishing pages, or malicious code.
• Use bots or scripts to scrape, spam, or overwhelm the Service.
• Interfere with the security or integrity of any network or data.
• Engage in any activity that infringes intellectual-property or privacy rights.

Breaching these rules may result in immediate suspension or termination without notice or refund.

6. LEGAL COMPLIANCE & TRANSPARENCY

We comply with the EU Digital Services Act, the California Consumer Privacy Rights Act, and other relevant laws. EU residents may request additional information on moderation decisions.

7. DISCLAIMER OF WARRANTIES

The Service is provided “as is” and “as available.” We make no warranties of any kind—express, implied, or statutory—regarding accuracy, timeliness, or fitness for a particular purpose. Content may include satire, opinion, or AI-generated text and is not legal, financial, medical, or professional advice.

8. LIMITATION OF LIABILITY

To the fullest extent allowed by law, our total liability for any claim arising out of the Service will not exceed US $100. We are not liable for indirect, incidental, special, punitive, or consequential damages, or for loss of data, profits, goodwill, or other intangible losses.

9. INDEMNITY

You agree to defend, indemnify, and hold harmless Brown & Black Social Club, its founders, contributors, and affiliates against any third-party claims or expenses (including attorneys’ fees) arising out of your misuse of the Service or breach of these Terms.

10. COPYRIGHT & DMCA PROCEDURE

We respect copyrights. If you believe material hosted here infringes your copyright, email a DMCA notice to brownandblackpodcast@gmail.com. We will remove or disable access to the material and may terminate repeat infringers.

11. TERMINATION

We may suspend or terminate your access at any time, with or without notice, for any or no reason. Sections 2–15 survive termination.

12. CHANGES TO THESE TERMS

We may modify these Terms. Material changes will be announced at least 7 days before taking effect. Continued use after the effective date is acceptance of the new terms.

13. GOVERNING LAW & DISPUTE RESOLUTION

• Governing Law: State of New York, USA, excluding conflict-of-law rules.
• Informal Resolution First: Email brownandblackpodcast@gmail.com; we’ll try to resolve within 30 days.
• Binding Arbitration: Unresolved disputes go to confidential, individual arbitration in New York County under JAMS Comprehensive Rules.
• Class-Action Waiver: You may sue us only in your individual capacity, not as plaintiff or class member in any class, collective, or representative action.
• 30-Day Opt-Out: Email brownandblackpodcast@gmail.com within 30 days of first use if you prefer to litigate in court.

14. SEVERABILITY

If any clause is unenforceable, the rest of the Terms remain in effect.

15. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements or understandings.
